Terms of Service

These Terms of Service (the “Terms”) are the agreement between you (the “Merchant” or “you”) and UCashier (“we”) for use of this website, the merchant dashboard, hosted cashier and open APIs (the “Service”). By registering, signing in or calling the API, you confirm that you have read and agree to these Terms. If you open an account for an organisation, you represent that you have authority to bind it.

1. The Service

UCashier provides enabled merchants with stablecoin collection and payouts: creating collection orders and a cashier URL, order status and signed callbacks after on-chain confirmation, sending funds from merchant payout balance to a stated address, plus query and dashboard matching of inbound transfers. Collection and payout currently support USDT on TRC and ERC, and USDC on ERC only. The Service is for teams that already have orders and finance — not a consumer wallet or exchange.

Inbound payments go to the receiving address you bind in the dashboard. Collection fees and payouts use merchant balance, booked separately from that on-chain address.

2. Account and access

You must provide accurate onboarding information and protect appId, appSecret and dashboard roles. Losses from leaked keys or misconfigured access are yours. We may ask for more information, and may refuse, suspend or end access for risk or compliance reasons without disclosing internal rules.

3. Your obligations

Use the Service only for lawful business and comply with laws where you and your payers operate.
Implement signing, callback verification, query fallback and callback acknowledgement as documented. Do not build the cashier URL yourself.
Keep amount, asset and network aligned with the inbound transfer. After expiry, the merchant links an inbound transfer to the order in the dashboard.
You remain responsible for contracts, fulfilment and support with your buyers and agents. We do not arbitrate those disputes.
Do not use the Service for money laundering, fraud, sanctions evasion, unauthorised securities offerings or other illegal activity.

4. Fees and merchant balance

There is no setup, integration or monthly fee. Successful collections are charged on volume, from 0.5%; tiers follow the dashboard or a written schedule. Payout fees follow the dashboard. On-chain gas is charged by the payer’s wallet or exchange. You must keep enough prepaid merchant balance for fees and payouts; otherwise create-order or payout may be refused.

5. Funds and settlement

Collections land in your bound address. After chain confirmation the order is credited and your server is notified. We do not hold your deposit private keys and are not responsible for how you secure that wallet. Payouts leave only prepaid payout balance to the address in the request. Delays or errors from congestion, nodes, a wrong address, asset or network are handled against on-chain fact.

6. Prohibited use

Without prior written consent you may not reverse engineer the Service, scrape it at scale, bypass signatures or controls, resell unauthorised access, or use it to harm other merchants, payers or networks. If we see abnormal activity we may delay notify, pause APIs or ask you to explain.

7. Compliance and screening

We may flag source addresses so you can decide whether to fulfil. That flag is an operational signal, not a legal finding. You remain responsible for applicable AML, CFT, sanctions and tax duties. We may disclose records when lawfully required.

8. Intellectual property

The site, docs, marks, API descriptions and cashier UI belong to UCashier or its licensors. We grant you a limited, non-transferable, non-exclusive licence to integrate as documented. You keep your systems, order data and brand.

9. Disclaimer

The Service is provided “as is”. We do not warrant uninterrupted APIs or that a given on-chain transfer will be accepted or irreversible. Rates and node data are for order conversion only. To the fullest extent permitted, implied warranties of merchantability and fitness for a particular purpose are excluded.

10. Limitation of liability

To the extent allowed by law we are not liable for indirect loss, lost profits, data loss or reputational harm. Our aggregate liability under these Terms is capped at the fees you actually paid us for the relevant Service in the three calendar months before the event. You will indemnify us against claims arising from your breach, unlawful use or incorrect integration.

11. Suspension and termination

Either party may stop using the Service via the dashboard or written notice. You remain liable for fees already incurred and for unfinished on-chain transfers. We may suspend or end the Service for material breach, suspected illegality or a prolonged empty balance. Confirmed collections and sent payouts are not automatically reversed.

12. Changes, law and contact

We may update these Terms by posting on this page. Continued use after an update is acceptance. Disputes should be discussed first; if unresolved, the law of the place where UCashier’s operating entity is established applies, and courts there have jurisdiction, unless your onboarding documents say otherwise. A signed commercial contract controls if it conflicts with this page.
